Terms of Service

These Terms of Service (“Terms”) govern your use of the SpeakUp application (the “App”) and the website at getspeakup.app (the “Website”). By downloading, installing, or using the App, or by purchasing a license, you agree to these Terms. If you do not agree, please do not use the App.
1. Who we are

Two contracts apply to your purchase:
- Your sale contract is with Creem OÜ (Estonia), which acts as the Merchant of Record and contractual reseller of SpeakUp. Creem sells the product to you in its own name, issues the invoice, collects applicable VAT, and handles payment processing, chargebacks, and refunds as the seller. Creem’s Merchant Terms of Service and Buyer Terms apply to that sale.
- Your software license is granted to you by us (Alexandra Mihaela Nedelcu, trading as SpeakUp) under these Terms. We are responsible for providing the App, issuing updates, handling product support, and for the conformity of the App with its description.
Where this document refers to “we”, “us”, or “SpeakUp”, it refers to Alexandra Mihaela Nedelcu as licensor, not to Creem.
2. The Service
SpeakUp is a voice-to-text dictation application for macOS (and, in the future, other platforms) that transcribes your speech using an on-device AI model. All speech processing happens locally on your device. For details on how we handle data, see our Privacy Policy.
The Website provides product information, purchase options, documentation, and an optional browser-based voice demo. The demo is technically distinct from the App and, unlike the App, sends audio to Cloudflare Workers AI for transcription — details are in our Privacy Policy.
AI transcription and accuracy. SpeakUp uses an AI speech-recognition model (Whisper) to transcribe your speech. AI transcription may produce errors, including incorrect words, missing or misplaced punctuation, omissions, or misheard technical, medical, legal, or financial terms. You must review and, where appropriate, edit transcriptions before relying on them. Do not use SpeakUp as the sole means of transcription in safety-critical, medical, legal, financial, or other contexts where an error in the output could cause harm, loss, or regulatory consequences, without independent human verification. To the extent permitted by applicable law, we disclaim liability for errors, omissions, or inaccuracies in transcription output; this disclaimer is subject to the mandatory liability exceptions set out in Section 11.
3. License
When you purchase a SpeakUp license, we grant you a perpetual, non-exclusive, non-transferable license to install and use the App for your personal use or internal business use, subject to these Terms.
The license permits activation on up to two (2) devices that you own or control. License keys are delivered by email after purchase.
You may not:
- Resell, sublicense, rent, lease, or redistribute the App or your license key;
- Share your license key with third parties;
- Reverse-engineer, decompile, or disassemble the App, except to the extent this restriction is prohibited by applicable law;
- Remove or alter any proprietary notices or branding;
- Use the App in a way that violates these Terms, applicable law, or the rights of others.
All rights not expressly granted are reserved.
4. Free Trial
SpeakUp offers a 14-day free trial that begins the first time you launch the App. The trial requires no payment details and gives you full access to the App’s features during the trial period. After the trial ends, you need a valid license to continue using the App.
5. Purchase, Prices, and Payment
Prices are displayed on the Website and at checkout. The one-time purchase price for SpeakUp is currently EUR 29. Applicable VAT is determined and collected by Creem based on your location. Payment is due at checkout.
The purchase is a one-time payment: there is no subscription and no recurring charge.
6. Right of Withdrawal (Consumers in the EU)
If you are a consumer in the European Union, you have a statutory right to withdraw from the purchase within 14 days. Important: this right may lapse if you start using the App before the 14-day period ends. Please read our Right of Withdrawal page for full details, including how to exercise this right and the standard withdrawal form.
7. Refunds
In addition to any statutory rights, we offer a voluntary 30-day money-back guarantee. See our Refund Policy for how to request a refund.
8. Acceptable Use
You agree not to use the App or the Website to:
- Violate any applicable law or regulation, or the rights of others;
- Transcribe, record, or process any audio in violation of applicable privacy, wiretapping, or data protection laws;
- Attempt to interfere with, disrupt, or gain unauthorized access to the Service or related systems;
- Use the Website’s voice demo to upload illegal content or to circumvent rate limits.
You are responsible for obtaining any consents required to record and transcribe audio in your jurisdiction.
9. Updates and Availability
We may release updates, bug fixes, and new features at our discretion. Updates are delivered through the App’s in-app update mechanism (Sparkle). We may also change, suspend, or discontinue features. We will not remove material functionality that was essential to your purchase without offering a reasonable remedy where required by applicable consumer law.
We aim to keep the Website available, but we do not guarantee uninterrupted availability.
10. Third-Party Components and App Stores
The App includes open-source components, including whisper.cpp (MIT), Sparkle (MIT), and KeyboardShortcuts (MIT). Their respective licenses apply to those components. Where a third-party license conflicts with these Terms, the third-party license governs that component.
If you obtain SpeakUp through a third-party distribution platform — for example, the Apple App Store — the end-user license agreement and store terms of that platform may apply to you in addition to these Terms. In case of a direct conflict between these Terms and the platform’s required terms for that distribution channel, the platform’s required terms prevail for that channel only. In particular, purchases made through the Apple App Store are subject to Apple’s Standard EULA and App Store Terms, and the rights and remedies for the sale of the App via the App Store are governed by those terms instead of by Section 1 (b) above.
11. Warranty and Liability
The App is provided with the statutory warranties required under German law for paid digital content. Except for those statutory warranties, the App is provided “as is”. We do not warrant that the App will be error-free, uninterrupted, or fit for a particular purpose beyond what is required by law.
To the extent permitted by applicable law, our liability for damages caused by slight negligence is limited to damages that are typical for this type of contract and that were reasonably foreseeable. This limitation does not apply to:
- Damages resulting from injury to life, body, or health;
- Damages caused by intent or gross negligence;
- Liability under the German Product Liability Act (Produkthaftungsgesetz);
- Breach of essential contractual obligations (Kardinalpflichten), which remain subject to the foreseeability limit above.
Nothing in these Terms limits any mandatory statutory rights of consumers.
12. Intellectual Property
The App, the Website, and all associated content (including branding, text, images, and source code other than open-source components) are owned by us or our licensors and are protected by copyright and other laws. Your license under Section 3 does not transfer any ownership rights.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where required, notify you by reasonable means. Your continued use of the App or Website after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the App; you may also request a refund under our Refund Policy if you are within the eligible window.
14. Termination
These Terms remain in effect for as long as you use the App or Website. You may stop using the App at any time; uninstalling the App ends your use of it. We may suspend or terminate your license if you materially breach these Terms. Sections that by their nature should survive termination (including Sections 3 license restrictions, 11 liability, 12 IP, and 16 governing law) survive.

The EU Commission provides an Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/. We are not obliged and are not willing to participate in dispute-resolution proceedings before a consumer arbitration board (ยง36 VSBG).
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer with habitual residence in another EU member state, this choice of law does not deprive you of the protection afforded by mandatory provisions of the law of your country of residence.
For merchants, legal entities under public law, and special assets under public law, the exclusive place of jurisdiction is Berlin, Germany.
